1. Acceptance of these terms
These Terms and Conditions (the "Terms") form a legally binding agreement between you and AllStar Tech Solutions LLC, a company organized under the laws of the State of Maryland ("AllStar," "we," "us," or "our"), governing your access to and use of the website at www.allstartechsolutions.com (the "Site") and any services we provide.
By accessing the Site or engaging us for services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or our services.
2. Definitions
- "Client" means any individual or organization that engages AllStar for services.
- "Services" means the technology services we offer, including managed IT, network installation, Wi-Fi installation and optimization, web development, custom software development, AI integration, and related consulting.
- "Site" means the AllStar Tech Solutions website and any subdomains.
- "Engagement" means a specific service relationship with a Client, governed by a separate written agreement (such as a Master Services Agreement, Statement of Work, or service order).
- "Content" means all text, images, code, designs, graphics, and other material on the Site.
3. Use of the website
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in a way that violates any applicable law or regulation
- Attempt to gain unauthorized access to any portion of the Site or related systems
- Probe, scan, or test the vulnerability of the Site without our prior written authorization
- Use any automated means (bots, scrapers, crawlers) to access the Site beyond standard search engine indexing
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the Site, servers, or networks connected to it
- Upload viruses, malware, or any other harmful code
- Use the Site to send unsolicited communications
We reserve the right to suspend or terminate your access to the Site at any time and for any reason, including violation of these Terms.
4. Intellectual property
The Site and all Content are owned by AllStar Tech Solutions or our licensors and are protected by copyright, trademark, and other intellectual property laws. The "AllStar Tech Solutions" name and logo are trademarks of AllStar.
You may view and download Content for your personal, non-commercial use only. You may not reproduce, modify, distribute, publicly display, or create derivative works from any Content without our prior written consent, except as expressly permitted by these Terms or applicable law.
Ownership of work product produced under a specific Engagement is governed by the written agreement for that Engagement.
5. Services
The Site provides general information about our Services. Specific Engagements between AllStar and a Client are governed by a separate written agreement, which may include a Master Services Agreement, Statement of Work, service order, or similar document. In the event of any conflict between these Terms and a written Engagement agreement, the Engagement agreement controls with respect to that Engagement.
Information on the Site about our Services is for general purposes and does not constitute a binding offer or commitment to provide any specific service, scope, or outcome until a written agreement is signed by both parties.
Free assessments. We may offer complimentary assessments, consultations, or scoping calls. These are informational only and do not create an attorney-client, fiduciary, or contractual relationship for delivery of services.
6. Payment terms
Payment terms for Services are set out in the applicable Engagement agreement. Unless that agreement states otherwise:
- Recurring managed services are billed monthly in advance
- Project-based work is billed according to the milestone schedule defined in the Statement of Work
- Invoices are due within 30 days of issuance
- Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law
- You are responsible for all applicable taxes other than taxes on our income
If an account becomes more than 60 days past due, we may suspend Services until the balance is paid.
7. Confidentiality
In the course of providing Services, AllStar and Client may exchange confidential information. Each party agrees to use the other's confidential information only for purposes of the Engagement and to protect it with at least the same degree of care it uses to protect its own confidential information of similar type, and in no case less than reasonable care.
Confidentiality obligations do not apply to information that (a) is publicly available without breach of these Terms, (b) was already known to the receiving party without restriction, (c) is independently developed without reference to the other party's confidential information, or (d) must be disclosed to comply with law or legal process.
8. Communications & SMS
By providing your contact information through the Site or in connection with an Engagement, you authorize us to communicate with you by email, telephone, and (with your separate, express opt-in) text message, regarding your inquiry, your Engagement, and account-related matters.
Our use of SMS is limited to transactional messages only — appointment reminders, service alerts, status updates, and account notifications. We do not send marketing or promotional text messages. Use of SMS is governed by our SMS Terms and the Privacy Policy. You can opt out at any time by replying STOP to any message.
9. Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ALLSTAR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Information on the Site is for general informational purposes and should not be relied upon as a substitute for professional advice tailored to your specific situation.
Warranties applicable to specific Services are set out solely in the applicable Engagement agreement.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ALLSTAR, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE — WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Liability arising out of an Engagement is limited as set out in the applicable Engagement agreement.
Some jurisdictions do not allow the limitation or exclusion of certain warranties or damages, so some of the above may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless AllStar Tech Solutions and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your violation of these Terms, (b) your violation of any law or rights of a third party, or (c) your use of the Site in any manner not expressly permitted by these Terms.
12. Termination
We may suspend or terminate your access to the Site at any time, without notice, for any reason, including violation of these Terms. Upon termination, all provisions of these Terms that by their nature should survive will survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
Termination of a specific Engagement is governed by the applicable Engagement agreement.
13. Governing law
These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict-of-laws principles. The federal and state courts located in Montgomery County, Maryland will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to the personal jurisdiction of those courts.
14. Disputes
Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute arising out of these Terms through informal negotiation. If a dispute cannot be resolved within 30 days, either party may pursue available legal remedies in the courts identified in Section 13.
YOU AND ALLSTAR EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION ARISING OUT OF OR RELATING TO THESE TERMS, TO THE EXTENT PERMITTED BY APPLICABLE LAW.
15. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated through a notice on the Site or by other reasonable means. Your continued use of the Site after a change becomes effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Site.
16. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and any applicable Engagement agreement, constitute the entire agreement between you and AllStar regarding your use of the Site, and supersede any prior agreements on the same subject.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
No agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and AllStar.
Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet or utility failures.
